These thorough Terms and Conditions (the 'Agreement') constitute a legally binding contract entered into by and between you ('User', 'Client', 'You') and Atlaz Business Solutions Pvt Ltd ('Atlaz', 'Company', 'We', 'Us', 'Our'). By accessing, browsing, registering for, or using our website, services, applications, software, or any affiliated portals (collectively, the 'Services'), you explicitly acknowledge that you have read, comprehended, and unconditionally agreed to be bound by every provision contained herein. If you do not agree to these terms in their entirety, you must immediately cease all access and use of our Services.

We reserve the unilateral right to modify, amend, replace, or update these terms at our sole discretion, at any time, and without prior notice. Your continued use of the Services following any such modifications shall constitute your explicit acceptance of the revised Terms.

Atlaz Business Solutions operates as a professional business consultancy and facilitation platform offering a vast array of services including, but not limited to, GST Registration, Company Incorporation (Private Limited, Public Limited, OPC, Section 8, Nidhi, Producer), Tax Advisory, Audit & Allied Services, Bookkeeping, Loan Facilitation, Startup India Registration, and Intellectual Property Rights (IPR) filing.

We act solely as a facilitator connecting clients with relevant government portals, financial institutions, or professional agents. Our representations, turnaround times, and success rates are approximate and contingent upon the unhindered cooperation of third-party authorities (e.g., MCA, DPIIT, Income Tax Department, CBIC, Banks). We do not guarantee the approval of any application by any government or regulatory body.

By utilizing our Services, you represent and warrant that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and possess the full legal capacity and authority to enter into this Agreement. If you are accessing the Services on behalf of a corporation, partnership, or other legal entity, you represent and warrant that you are duly authorized to bind such entity to these Terms.

You agree to provide true, accurate, current, and complete information during any registration or service application process. Any discrepancy, misrepresentation, or falsification of documents, whether intentional or accidental, may result in immediate termination of services, forfeiture of any fees paid, and potential legal action. You bear sole responsibility for the authenticity and validity of all documents (KYC, address proofs, financial records) submitted to us.

All service fees, consultancy charges, government fees, and applicable taxes (including GST) shall be communicated to you prior to the commencement of any Service. We do not display fixed pricing on our platform, as each service is uniquely tailored. Payments must be made in full, in advance, through our authorized payment gateways or designated bank accounts unless otherwise explicitly agreed upon in writing via a formalized retainer agreement.

4.1 Non-Refundable Fees: Any fees paid towards government challans, stamp duty, professional stamps, or third-party vendor charges are strictly non-refundable under any circumstances once remitted. Professional fees paid to Atlaz may only be refunded on a pro-rata basis if the cancellation request is received prior to the commencement of substantial work, determined at our sole discretion.

4.2 Chargebacks and Disputes: Any unjustified chargeback initiated by the User through their credit card provider or bank will be considered a material breach of this Agreement. In such an event, we reserve the right to suspend services immediately and pursue recovery of the disputed amount, along with administrative and legal costs.

All content, material, algorithms, software, design, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and overall 'look and feel' present on this website are the exclusive property of Atlaz Business Solutions or its content suppliers and are protected by Indian and International copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the website for personal, non-commercial purposes or for the direct procurement of our business services. Any unauthorized extraction, reproduction, distribution, modification, or creation of derivative works from our content is strictly prohibited and will be prosecuted to the maximum extent of the law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATLAZ BUSINESS SOLUTIONS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, REVENUE, ANTICIPATED SAVINGS, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM:

• The use of, or inability to use, our Services.
• Errors, mistakes, omissions, or inaccuracies of content.
• Any delay, rejection, or penalization by a government authority regarding your application.
• Any unauthorized access to or use of our secure servers and/or any personal or financial information stored therein.
• Any bugs, viruses, trojan horses, or similar malicious code transmitted to or through our platform by any third party.

In no event shall our total aggregate liability to you for all damages, losses, and causes of action exceed the total amount paid by you to Atlaz for the specific service giving rise to the claim in the twelve (12) months immediately preceding the event giving rise to the liability.

You agree to fully defend, indemnify, and hold harmless Atlaz Business Solutions, its parent company (Yugam Consulting), subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) made by any third party due to or arising out of:

• Your breach of these Terms and Conditions or the documents they incorporate by reference.
• Your violation of any law, rule, regulation, or the rights of a third party.
• Your submission of fraudulent, incorrect, or deceptive information or documents.
• Your utilization of our Services for any illegal, unethical, or unauthorized purpose.

Atlaz Business Solutions shall not be deemed in default of this Agreement or liable for any delay, failure in performance, or interruption of service resulting directly or indirectly from acts of God, civil or military authority, acts of public enemy, war, terrorism, riots, civil disturbances, insurrections, accidents, fire, explosions, earthquakes, floods, the elements, strikes, labor disputes, cyber-attacks, ransomware, DDoS attacks, prolonged power outages, pandemic, epidemic, quarantine restrictions, breakdown of government portals (e.g., MCA21, GSTN, TRACES), or any other cause beyond our reasonable control.

This Agreement and any separate agreements whereby we provide you Services shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

Any controversy, claim, or dispute arising out of or relating to this Agreement, or the breach thereof, shall be settled exclusively through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually by both parties. The seat and venue of arbitration shall be Chennai, Tamil Nadu, India. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding on both parties.

Subject to the arbitration clause above, you hereby irrevocably consent to the exclusive jurisdiction and venue of the courts located in Chennai, Tamil Nadu, India for any legal action arising out of or related to these Terms.

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. No waiver by Atlaz of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Atlaz to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us on the Website, constitute the entire agreement between you and Atlaz Business Solutions concerning your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms and Conditions).
